This Third-Party Data Addendum (the “Addendum”) is incorporated by reference into the Oasive Terms of Service or, for a separately contracted Agency MBS subscription, the applicable Master Services Agreement (the “Agreement”) between Oasive, Inc. (“Oasive”) and Customer. Capitalized terms not defined here have the meanings given in the Agreement. This Addendum sets out the additional terms that apply to specific Third-Party Data made available through the Services, identifies the Data Providers whose data is included in each Subscription Tier, and names the Data Providers that are third-party beneficiaries of the Third-Party Data section of the Agreement. If this Addendum conflicts with the Agreement, this Addendum prevails as to the Third-Party Data it covers.
Oasive may update this Addendum as described in the Agreement. Where Customer has a mutually executed Order Form, updates apply during the then-current Order Term only where required by a Data Provider.
1. Terms Applicable to All Third-Party Data
1.1 Scope. The restrictions in this Addendum apply to Third-Party Data in every form in which Customer receives it: displayed in the Services, downloaded from the Services, or embedded in Oasive Content or Output.
1.2 Derived Content. Much of the Third-Party Data reaches Customer only as an input to Oasive Content and Output (for example, valuations, prepayment forecasts, and research commentary) and is never displayed as published by the Data Provider. Customer shall not attempt to reconstruct, reverse engineer, or infer the underlying Third-Party Data from Oasive Content or Output, and shall not use Oasive Content or Output as a substitute for a data product offered by any Data Provider.
1.3 No Financial Products. Customer shall not use Third-Party Data, Oasive Content, or Output to create, issue, sponsor, price, settle, or support any index, fund, exchange-traded product, derivative, structured product, or other financial product.
1.4 Corrections. Data Providers publish corrections from time to time. Oasive will make corrections available through the Services as it receives them. Customer shall not knowingly rely on or redistribute Third-Party Data or Oasive Content that has been corrected or superseded.
1.5 Attribution. Where the Services identify a Data Provider as the source of Third-Party Data, Customer shall retain that attribution in any permitted excerpt. Customer shall not use a Data Provider’s name, logo, or trademark in any other manner, and shall not state or imply that any Data Provider endorses Oasive, the Services, Customer, or Customer’s use of the Services.
1.6 Regulatory Cooperation. Data Providers include exchanges, self-regulatory organizations, and government-sponsored enterprises whose data is subject to their rules and to applicable securities laws. Customer shall cooperate with any inquiry, review, or audit by a Data Provider or regulator concerning Customer’s receipt or use of Third-Party Data, and shall immediately cease any use that Oasive or a Data Provider identifies as unauthorized.
1.7 End-User Reporting. Oasive is required to report the identity of its customers, and in some cases the number and identity of Authorized Users, to certain Data Providers. Customer consents to that reporting as set out in the Cooperation with Data Providers sub-section of the Agreement.

Oasive may add, remove, or replace Data Providers as described in the Agreement and will update this table accordingly.
3. Agency MBS Disclosure Data (Fannie Mae and Freddie Mac)
This Section 3 applies to Third-Party Data licensed from Fannie Mae and from Freddie Mac (each, an “Enterprise”), and to Oasive Content and Output derived from it (together, “Agency MBS Data”). Agency MBS Data is available only under the Agency MBS Platform tier.
3.1 Internal Use Only. Customer may use Agency MBS Data solely for Customer’s internal business purposes. Customer shall not resell, disclose, publish, or redistribute Agency MBS Data to any third party, and shall not create or offer to any third party any product, service, or data set derived from Agency MBS Data if any Agency MBS Data can be reverse engineered or otherwise identified from it, or if it reveals any substantial portion of the underlying Agency MBS Data.
3.2 Data Integrity. Customer shall not modify or alter Agency MBS Data other than as the Services permit, and shall not distort Agency MBS Data or delete or change information in it in a way that materially affects its integrity as originally published by the Enterprise.
3.3 Purpose and Scope of Use. Each Enterprise provides its data to facilitate investment in its mortgage-related securities, to support stability in the secondary market for residential mortgages, and to increase the liquidity of mortgage investments. Customer shall not use Agency MBS Data for purposes adverse to those objectives or to compete, directly or indirectly, with an Enterprise or with any product or service an Enterprise provides.
3.4 No Correlation to Individuals. Under no circumstances shall Customer, directly or indirectly, use, copy, modify, decompile, scrape, cache, frame, mask, correlate, or apply any process to Agency MBS Data in order to derive any information about any particular borrower or other individual, for any purpose, whether or not the results are used internally or externally. Customer shall comply with all federal, state, and local laws and regulations governing its access to, handling of, and use of Agency MBS Data.
3.5 No Other Rights. Except as expressly permitted in the Agreement and this Addendum, Customer shall not redistribute, license, retransmit, or rebroadcast Agency MBS Data or any portion of it.
3.6 Notices. Customer shall not remove, alter, cover, or distort any copyright, trademark, or other proprietary-rights notice an Enterprise places in or on Agency MBS Data, and shall reproduce those notices on any copy of Agency MBS Data Customer makes as permitted by the Agreement.
3.7 Disclaimer and Limitation of Liability. EACH ENTERPRISE, AND EACH OTHER DIRECT OR INDIRECT SUPPLIER OF OASIVE, DISCLAIMS ALL WARRANTIES WITH RESPECT TO AGENCY MBS DATA, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, ADEQUACY, COMPLETENESS, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. NO ENTERPRISE OR OTHER SUPPLIER WILL HAVE ANY LIABILITY TO CUSTOMER FOR THE ACCURACY OR ADEQUACY OF AGENCY MBS DATA OR FOR ANY DAMAGES OF ANY KIND ARISING FROM CUSTOMER’S USE OF IT. Oasive makes no representation or warranty concerning either Enterprise or its data, and no statement in the Services is made on behalf of an Enterprise.
3.8 Termination. Oasive may terminate Customer’s access to Agency MBS Data, or the Agreement, immediately and without notice if Customer violates any provision of this Section 3 or the Third-Party Data section of the Agreement. Customer’s access to Agency MBS Data ends automatically if Oasive’s license from the applicable Enterprise expires or terminates. This Section 3 survives any termination or expiration of the Agreement.
3.9 Third-Party Beneficiaries. Fannie Mae and Freddie Mac are each an intended third-party beneficiary of this Section 3 and of the Third-Party Data section of the Agreement as it applies to Agency MBS Data, and each may enforce those provisions directly against Customer.
3.10 Attribution. Customer may refer to an Enterprise only as the original source of Agency MBS Data, and only where the Services already do so. Customer shall not otherwise use an Enterprise’s name, logo, or trademark, and shall not imply that an Enterprise endorses Oasive, the Services, or Customer.
4. FINRA TRACE Data
This Section 4 applies to Third-Party Data licensed from the Financial Industry Regulatory Authority, Inc. (“FINRA”) under its TRACE End-of-Day data products, and to Oasive Content and Output derived from it (“TRACE Data”).
4.1 Derived Data Only. The Services do not display TRACE transaction data as disseminated by FINRA. TRACE Data reaches Customer only as an input to valuations, prepayment forecasts, research commentary, and aggregate market statistics. Customer shall not attempt to derive individual transaction information from Oasive Content or Output.
4.2 On-Screen Only; No Download or Bulk Access. Notwithstanding the Downloads sub-section of the Agreement, Customer shall not download, export, copy, or extract any statistic, table, or chart that the Services identify as derived from TRACE Data, whether manually or by automated means, and shall not receive TRACE Data in bulk in any form. TRACE-derived statistics may be viewed on screen within the Services only.
4.3 Presentation. Customer shall not present or describe TRACE Data or TRACE-derived statistics in any false, unfair, misleading, or discriminatory manner.
4.4 FINRA Review. FINRA may review Oasive’s distribution of TRACE Data. Customer shall cooperate with any such review, shall provide information about its use of TRACE Data on request, and shall immediately cease any use that FINRA or Oasive identifies as unauthorized and confirm in writing that it has done so.
4.5 Rules. Customer shall comply with all FINRA rules and applicable laws governing its receipt and use of TRACE Data.
Any additional written restrictions required by FINRA apply to the relevant TRACE-derived data and will be made available to Customer.
5. CME Group and US Equities Data (via Databento)
This Section 5 applies to Third-Party Data that Oasive receives through Databento, Inc. (“Databento”), including CME Globex futures market data owned by CME Group Inc. and its affiliates (“CME”) and US equities market data (together, “Exchange Data”), and to Oasive Content and Output derived from it.
5.1 Non-Display; Derived Only. The Services do not display Exchange Data as disseminated by the exchange. Exchange Data reaches Customer only as an input to Oasive Content and Output. Customer shall not attempt to derive, reconstruct, or infer Exchange Data from Oasive Content or Output.
5.2 No Redistribution. Customer shall not publish, distribute, or otherwise furnish Exchange Data to any third party. Under the Macro & Rates tier, the excerpt right in the Permitted Use by Subscription Tier sub-section of the Agreement does not extend to any data point, chart, or statistic that the Services identify as derived from CME data.
5.3 No Financial Products. Without limiting Section 1.3, Customer shall not use Exchange Data, or any Oasive Content or Output derived from it, for the purpose of creating financial products.
5.4 Exchange Rules and Eligibility. Customer represents that it is qualified to receive Exchange Data under the rules of the applicable exchange and applicable law, and shall comply with those rules. Oasive may require Customer to provide information about its status (including whether Customer or any Authorized User is a professional or non-professional user, as the exchange defines those terms) and may report that information to Databento and the exchange.
5.5 Ownership. Exchange Data is and remains the valuable intellectual property of CME or the applicable exchange. Databento and each exchange may seek injunctive relief directly against any person who misappropriates or misuses Exchange Data.
5.6 Additional CME Terms. Access to CME-derived data is subject to applicable licensing and end-user requirements. Any additional required CME terms will be made available to Customer before the relevant access is provided. No right beyond the applicable license is granted by this Addendum.
6. CUSIP Identifiers
CUSIP identifiers and descriptions may be supplied through the Services’ data sources or by Customer and are the intellectual property of CUSIP Global Services (“CGS”) and the American Bankers Association (“ABA”). This Addendum does not grant a separate CGS license. Customer may use CUSIP identifiers only to identify securities within the Services and in Customer’s own internal records relating to those securities. Customer shall not publish, distribute, or redistribute CUSIP identifiers or descriptions, or any subset or summary of them, to any third party, and shall not use them to create or maintain a master file or database of CUSIP identifiers or descriptions for itself or any third party, or as a substitute for any CGS product or service. CGS and the ABA disclaim all warranties with respect to CUSIP identifiers and descriptions and will have no liability to Customer for their accuracy or use.
7. Macroeconomic and Public Data Sources
Oasive uses public economic and interest-rate data from the U.S. Treasury, Bureau of Labor Statistics, and Bureau of Economic Analysis, including public-domain government series accessed through FRED. Retain the source attribution shown with the data. FRED also hosts third-party series; their separate source terms continue to apply. Ginnie Mae disclosures remain subject to its published data-use terms, including restrictions on identifying borrowers.
