Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and services operated by Oasive, Inc. (“Oasive”, “we”, “us”, or “our”), including the Oasive AI copilot for fixed-income and structured-products analytics (collectively, the “Service”). By accessing or using the Service, by creating an account, or by clicking “I Agree,” you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

The Service is intended for business and professional use by sophisticated market participants. By using the Service, you represent that:

  • You are at least 18 years old;
  • You are using the Service for your own internal business purposes, and if you use it on behalf of an organization, you have authority to bind that organization to these Terms;
  • The information you provide when registering is accurate and kept current.

Accounts are managed through our authentication provider. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

2. Beta service

The Service is currently offered as a pre-release “beta” and is provided free of charge during the beta period. You acknowledge that:

  • The Service is under active development, may contain errors or produce inaccurate results, and may change, be interrupted, or be discontinued at any time without notice;
  • We do not offer any service-level, uptime, support, or availability commitments during beta;
  • Data security, retention, and access controls are not yet at the level we intend to offer at general availability (see Section 7).

3. License to use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own internal business purposes during the beta period.

4. Acceptable use

You agree that you will not:

  • Use the Service for any unlawful or unauthorized purpose;
  • Reverse engineer, decompile, scrape, or attempt to extract or derive the source code, underlying models, training data, or database of the Service;
  • Resell, redistribute, or commercially exploit the Service or its Outputs except as expressly permitted;
  • Use automated systems to access the Service in a manner that exceeds reasonable, human-scale use or that imposes an unreasonable load on our infrastructure;
  • Interfere with or compromise the security, integrity, or proper functioning of the Service, or attempt to gain unauthorized access to any system or data;
  • Use the Service to develop a competing product or to benchmark it for that purpose without our prior written consent.

5. Your content: inputs and outputs

“Inputs” means the prompts, questions, instructions, and other content you submit to the Service. “Outputs” means the responses, analyses, and other content the Service generates in reply.

As between you and Oasive, you retain whatever rights you hold in your Inputs. You grant Oasive a worldwide, royalty-free license to host, process, transmit, and use your Inputs and the resulting Outputs to operate, maintain, secure, and improve the Service, including as described in Section 7 and in our Privacy Policy.

You are responsible for your Inputs and for your use of any Outputs. You represent that you have the rights necessary to submit your Inputs and that doing so does not violate any law or third-party right.

6. AI-generated outputs

Outputs are generated using artificial intelligence and large language models, including third-party model providers. Outputs may be inaccurate, incomplete, outdated, or fabricated (“hallucinated”), and underlying market data may be delayed or contain errors. You should independently verify any Output before relying on it. Given the nature of machine learning, different users may receive similar Outputs, and we make no claim that Outputs are unique to you.

7. Beta data handling and confidentiality

Because the Service is in beta, our team currently has broad access to the data in the system, and we review Inputs and Outputs to operate, debug, and improve the Service.

You should avoid submitting confidential or proprietary information, personal data about third parties, material non-public information (MNPI), or anything you are not permitted to disclose. Do not submit information whose disclosure to us, to our service providers, or to our third-party AI providers would breach a duty you owe to anyone else. We will implement more granular data security, access controls, and retention policies as the Service moves toward general availability.

8. No investment, financial, legal, or tax advice

Oasive is a software analytics tool. It is not a broker-dealer, investment adviser, fiduciary, or rating agency, and it is not registered as any of these. Nothing provided through the Service, including any Output, constitutes:

  • Investment advice or a recommendation to buy, sell, or hold any security or financial instrument;
  • Legal, tax, accounting, or other professional advice;
  • A solicitation, offer, or inducement to transact in any financial instrument.

You are solely responsible for any decisions you make. Always conduct your own due diligence and consult appropriate professional advisers before making financial or legal decisions.

9. Feedback

If you send us suggestions, ideas, or other feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without obligation or compensation to you.

10. Intellectual property

The Service and all content and technology comprising it, including text, graphics, logos, software, models, and database structures, are owned by Oasive or our licensors and are protected by copyright, trademark, and other laws. Except as expressly permitted in these Terms, you may not copy, modify, create derivative works from, reproduce, distribute, publicly display, or use our trademarks, logos, or branding without our prior written consent.

11. Third-party services

The Service relies on and integrates third-party services, including AI model providers, hosting and infrastructure providers, and analytics and email providers. We do not control these third parties and are not responsible for their content or practices. Your Inputs and related data may be processed by them as described in our Privacy Policy. Your use of third-party services is subject to their own terms.

12. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties and conditions of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service or any Output will be uninterrupted, secure, error-free, accurate, complete, or current, or that defects will be corrected.

13. Limitation of liability

To the maximum extent permitted by law, Oasive and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, use, or goodwill, or for any trading or investment losses, arising out of or in connection with your use of or inability to use the Service or any Output, whether based in contract, tort, or any other legal theory.

Our total aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim or one hundred US dollars (100 USD). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Oasive and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with:

  • Your use of the Service or any Output;
  • Your Inputs;
  • Your violation of these Terms;
  • Your violation of any applicable law or the rights of any third party.

15. Term and termination

These Terms apply while you use the Service. We may suspend or terminate your access at any time, with or without notice, including if we discontinue the beta or believe you have violated these Terms. You may stop using the Service at any time. Sections that by their nature should survive termination (including Sections 5, 6, 8, 9, 10, 12, 13, 14, and 18) will survive.

16. Changes to the Service and these Terms

We may update, suspend, or discontinue any part of the Service at any time. We may also modify these Terms from time to time. When we make material changes, we will update the “Last updated” date above and may ask you to re-accept the Terms before continuing to use the Service. Your continued use after changes take effect means you accept the updated Terms.

17. Governing law and jurisdiction

These Terms and any dispute arising out of or relating to them or the Service will be governed by the laws of the State of California, without regard to its conflict of law rules.

You agree that the state and federal courts located in Santa Clara County, California will have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction in those courts.

18. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and Oasive regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
